    • The UK is a world leader in alternative finance; however, we are guilty of not taking full advantage of the vast, untapped bank of talent that exists amongst successful business people in this country.

      There are 500,000 high net-worth individuals in the UK and most have the potential to become Angel investors and provide SMEs with ‘smart money’ that comes with invaluable expertise and contacts. This is of the utmost importance, as the UK has 5.2m small businesses that employ 15m people and contribute to 50% of the UK economy*.

      More Angels mean more jobs, a stronger economy and a thriving ecosystem of innovative industries. Half of all newly funded businesses fail within 5 years due to a lack of support whereas the success rates of Angel investments can reach up to 90%.**

      RBS is the largest commercial and retail bank in the UK and have made a firm commitment to aiding the SME sector by rolling out an accelerator programme nationwide. As an active player in the UK SME market, they understand the importance of smart money and mentorship when it comes to young companies raising finance.

      The UK Business Angels Association (UKBAA) is the national trade association representing angel and early stage investment. They want to promote further sustainable investment into UK SMEs through investor training and accreditation.

      BDO is a global accountancy and business advisory firm. They operate in 154 countries with 64,500 people working out of 1,400 offices worldwide. Globally, BDO generates revenues of $7.3bn. In the UK, their focus is providing market leading exceptional client service delivered by empowered people.

    • UKCFA

      The UK Crowdfunding Association is an organisation established to act as the main spokesperson for crowdfunding. To maintain the growth of alternative finance, they see investor education as vital and believe giving investors the adequate skills to assess both opportunities and risk is key to a flourishing market.

    • Entrepreneurial Spark

      Entrepreneurial Spark is the world’s largest free accelerator for start-up and scaleup businesses. They have already supported over 660 startups by giving them the advice and support they need in order to grow their businesses. They see smart Angel investment as the logical next step for their graduates.

    The Angel

    • You may be wary at the prospect of becoming an Angel investor, as there is a common misconception that Angel investing is only done at private clubs by men in pin-stripe suits. This is simply not true, as Angels can come from all walks of life and women make particularly savvy investors.

      Typically, Angels seek a high return investment opportunity where losses can be offset by tax relief (via SEIS/EIS). The consistent feedback we receive is that working with and helping a business grow, is one of the most satisfying journeys Angels have experienced.


    Angel investing and types of Angel

    There are three types of Angel investor - a lead, a syndicate and an online - each offering different levels of involvement within the business they invest into. Depending on the amount of time and money you wish to invest, as well as your sector knowledge and risk appetite, you may decide to act as the lead investor in a business you feel has particular potential, collaborate and invest alongside other investors in a syndicate or simply follow an experienced angel with a good track record as an online angel, without any direct involvement in the company. Alternatively, a combination of these roles across a portfolio of different businesses, to spread risk and your levels of interaction - whilst increasing your chances of backing a success.

    • LEAD ANGEL – This Angel leads the funding round, usually invests £20,000 or more and makes an active commitment to the company post-investment, utilising their experience and contacts to help it grow and realise its maximum value at exit. Their expertise is just as important as their capital as their contacts and knowledge can raise the company to the next level. The relationship with the company in which one invests is not one of an employee, contractor or consultant, selling your time by the hour, but a guardian Angel, leading the company forward to maximise its value.

    • SYNDICATE ANGEL – This Angel collaborates with others and normally invests £5,000 to £50,000 in a range of businesses. The Syndicate Angel will often have less involvement than the Lead Angel, but still utilises their contacts and experience when needed and enjoys the process of discussing potential investments with other Angels in a social environment.

    • ONLINE ANGEL – This Angel may not have the requisite time to find and mentor young businesses, however wants to expand their portfolio to obtain a healthy range of investments and gain access to SEIS/EIS tax relief. They may invest in startups through a wealth manager or through an online platform, however invests at arms length, with minimal input into the running of the company itself.

    • Angel-led investing brings the world of smart and sustainable startup investment online. It allows for you to find, invest in and mentor young businesses; while investing alongside and learning from other experienced angel investors. The model encourages Lead and Collaborative Angels to make sure the business and valuation are sound, before opening the raise to others. This reduces risks for less experienced investors and also gives them the same investor protections and voting rights. The lead and syndicate angels also provide the added value and expertise pre and post investment, increasing the companies chances of long terms success. This is achieved by providing experience, contacts and mentoring to the team, all the way through to the exit.

    Tax benefits of Angel investing

    To encourage more investments into early stage companies, the UK Government runs two schemes, SEIS and EIS, offering investors generous tax breaks. The schemes effectively reduce the cost of investing and, if the investment is successful, enhance the returns.

    • Seed Enterprise Investment Scheme (SEIS)
      SEIS was introduced in 2012 as an incentive for UK taxpayers to make seed investments in early stage companies. Investors can receive initial tax relief of up to 50% on investments up to £100,000 and if they sell their shares after 3 years, any profit is free from Capital Gains Tax. To qualify the business must have been trading for less than 2 years and the company is raising less than £150,000.

    • Enterprise Investment Scheme (EIS)
      EIS aims to encourage investors to invest in smaller companies by offering up to 30% tax relief. The scheme also enhances returns by offering a capital gains tax emption after three years and further tax relief in the event of a loss. Under EIS each individual investor is allowed to invest up to £1million per year.
